Terms And Conditions
Effective Date: 18 April 2026
PT. Ace Perkasa Globe, trading as 3on-pay (“3on-pay”, “we”, “us”, or “our”), provides merchant acquiring and related payment acceptance services to the merchant identified in the applicable application, onboarding documents, order form or merchant agreement (“Merchant”, “you”, or “your”).
By applying for, accessing or using the Services, you acknowledge that you have read, understood and agreed to these Terms, together with any applicable schedules, pricing documents, operating procedures and service-specific terms.
1. Definitions
For the purposes of these Terms:
Acquirer means the entity that enters into an agreement with a merchant to accept and process payment transactions resulting in funds being transferred to the merchant.
Card Scheme means a payment card network or scheme through which payment transactions are processed, including Visa, Mastercard or any other payment network supported by 3on-pay.
Customer means any person who purchases goods or services from the Merchant.
Payment Transaction means a payment submitted through the Services using an approved payment method.
Services means the merchant acquiring, payment processing, payment gateway, settlement, reporting and related services made available by 3on-pay.
Settlement Account means the bank account nominated by the Merchant and approved by 3on-pay for the receipt of settlement funds.
2. Merchant Account and Onboarding
2.1 You must provide accurate, complete and current information throughout the application and onboarding process.
2.2 Before approving or continuing a Merchant account, 3on-pay may carry out identity, business, ownership, sanctions, fraud, financial crime and other compliance checks.
2.3 3on-pay may request additional information or documentation at any time where reasonably necessary for compliance, risk management, fraud prevention or the operation of the Services.
2.4 Approval of a Merchant account does not guarantee that any particular Payment Transaction will be authorised, accepted or processed.
3. Merchant Responsibilities
You agree to:

use the Services solely for legitimate business activities;
-
provide accurate and complete information regarding your business, products and services;
-
comply with all applicable laws and regulations;
-
comply with applicable Card Scheme rules and operating requirements;
-
obtain and maintain all licences, registrations, permits and approvals required for your business;
-
maintain appropriate records relating to transactions and Customer orders;
-
provide goods and services to Customers in accordance with your stated terms and conditions;
-
cooperate with reasonable fraud, compliance and transaction investigations;
-
keep your account credentials and access information secure; and
-
promptly notify 3on-pay of any suspected unauthorised access, fraud or security incident.
You must not use the Services for any activity prohibited by applicable law, the relevant Card Scheme rules or 3on-pay’s risk and compliance requirements.
4. Processing of Transactions
4.1 3on-pay will use reasonable efforts to process Payment Transactions submitted through the Services.
4.2 A Payment Transaction may be declined, reversed, rejected or delayed for reasons including insufficient funds, issuer refusal, suspected fraud, technical issues, compliance requirements, Card Scheme rules or circumstances outside 3on-pay’s reasonable control.
4.3 Authorisation of a Payment Transaction does not guarantee final settlement.
4.4 You must not knowingly submit duplicate, fictitious, unauthorised or otherwise invalid Payment Transactions.
4.5 You must not divide or split a single transaction into multiple transactions for the purpose of avoiding applicable transaction limits, controls or restrictions.
5. Refunds and Chargebacks
5.1 You are responsible for processing legitimate refunds in accordance with your published refund policy and applicable Card Scheme rules.
5.2 A Customer may dispute a Payment Transaction or initiate a chargeback through their card issuer or payment provider.
5.3 You agree to provide information and documentation reasonably requested by 3on-pay in connection with any dispute or chargeback.
5.4 Chargebacks, refunds, reversals and associated costs may be deducted from amounts otherwise payable to you, subject to applicable law and the terms of the applicable agreement.
5.5 You remain responsible for valid liabilities arising from transactions submitted through your Merchant account, including where a transaction is subsequently disputed, reversed or charged back.
6. Settlement
6.1 Subject to these Terms, applicable fees, reserves, chargebacks, reversals and other permitted deductions, 3on-pay will arrange settlement of funds to your approved Settlement Account in accordance with the agreed settlement schedule.
6.2 Settlement times may vary depending on the payment method, currency, Card Scheme, banking system, risk controls and other applicable factors.
6.3 3on-pay may delay, withhold or suspend settlement where reasonably necessary to investigate suspected fraud, unusual activity, disputes, compliance matters or other material risks, subject to applicable law.
6.4 You are responsible for ensuring that all Settlement Account information provided to 3on-pay is accurate and up to date.
7. Fees and Charges
7.1 You agree to pay all fees specified in your application, pricing schedule, order form or other agreed commercial documentation.
7.2 Fees may include transaction fees, percentage-based processing fees, chargeback fees, refund fees, currency conversion charges, service fees and any other agreed charges.
7.3 Unless otherwise agreed, applicable fees may be deducted directly from settlement amounts.
7.4 Where required by applicable law, 3on-pay will provide reasonable notice of material changes to recurring fees.
8. Reserves and Risk Management
8.1 Where reasonably necessary to manage financial, fraud, chargeback or other risks, 3on-pay may establish a reserve or other risk-control arrangement in accordance with the applicable Merchant agreement and applicable law.
8.2 The amount and duration of any reserve will be determined based on relevant risk factors and may be reviewed periodically.
8.3 Subject to any outstanding liabilities, 3on-pay will release any remaining reserve balance once the applicable risk period has ended.
9. Prohibited or Restricted Activities
The Merchant must not use the Services for unlawful activities or for goods or services that 3on-pay has expressly prohibited or restricted.
3on-pay may refuse, restrict or terminate processing for any product, service, transaction or business activity where required or permitted by law, regulation, Card Scheme requirements, financial crime controls, risk requirements or contractual arrangements.
10. Fraud and Security
10.1 3on-pay may use fraud detection, transaction monitoring and other security measures to protect the Services, Merchants, Customers and payment ecosystem.
10.2 You must maintain reasonable security controls appropriate to your business and the payment methods you accept.
10.3 You must promptly notify 3on-pay of any suspected compromise of your account, payment credentials, systems or Customer payment information.
10.4 3on-pay may suspend or restrict access to the Services where reasonably necessary to protect you, your Customers, 3on-pay or the relevant payment networks.
11. Compliance and Verification
You agree to cooperate with reasonable requests relating to:

identity and business verification;
-
beneficial ownership;
-
anti-money laundering and counter-terrorist financing requirements;
-
sanctions screening;
-
fraud prevention;
-
transaction monitoring;
-
regulatory requirements; and
-
Card Scheme compliance.
Failure to provide information or documentation reasonably required by 3on-pay may result in the suspension, restriction or termination of the Services where permitted by applicable law.
12. Data Protection
Each party will process personal information in accordance with applicable data protection and privacy laws.
3on-pay may process information relating to Merchants, Customers and transactions for purposes including providing the Services, processing transactions, preventing fraud, meeting compliance requirements, maintaining security, managing disputes and administering the Services.

13. Intellectual Property
13.1 Each party retains ownership of its respective intellectual property rights.
13.2 Subject to these Terms, 3on-pay grants the Merchant a limited, non-exclusive and non-transferable right to use the Services and related materials for its internal business purposes during the term of the applicable agreement.
13.3 The Merchant must not copy, modify, reverse engineer, resell or misuse any 3on-pay systems or materials except where expressly permitted by applicable law or by written agreement.
14. Service Availability
3on-pay will use reasonable efforts to maintain the availability of the Services but does not guarantee that the Services will always be available, uninterrupted or error-free.
The Services may become temporarily unavailable due to maintenance, technical failures, telecommunications problems, payment-network issues, banking-system interruptions, security incidents or other circumstances outside 3on-pay’s reasonable control.
15. Suspension
3on-pay may suspend or restrict some or all of the Services where reasonably necessary because:
-
you have breached these Terms;
-
required information or documentation has not been provided;
-
fraud or suspicious activity is suspected;
-
a legal or regulatory requirement applies;
-
a Card Scheme or banking partner requires such action;
-
continued processing presents a material financial, fraud, compliance or security risk; or
-
you become insolvent or cease trading.
Where legally and commercially appropriate, 3on-pay will notify you of the reason for suspension and any steps required to restore the Services.
16. Termination
Either party may terminate the Merchant agreement in accordance with the applicable agreement and its notice provisions.
3on-pay may terminate the agreement immediately where permitted by law if the Merchant materially breaches these Terms, engages in unlawful activity, presents a material fraud or financial crime risk, or becomes subject to a legal or regulatory requirement that prevents the continued provision of the Services.
Termination will not affect any rights, obligations or liabilities that arose before the termination date.
17. Liability
To the extent permitted by applicable law, each party will be responsible for losses directly caused by its breach of these Terms, negligence, fraud or wilful misconduct.
Neither party will be responsible for losses caused by circumstances outside its reasonable control.
Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.
Any specific liability caps, exclusions or limitations should be set out in the applicable Merchant agreement and reviewed by appropriate legal counsel.
18. Indemnity
To the extent permitted by applicable law, the Merchant will be responsible for losses, claims, costs and reasonable expenses arising from:

the Merchant’s unlawful use of the Services;
-
the Merchant’s breach of these Terms;
-
fraud or misuse of the payment services; or
-
the Merchant’s failure to provide goods or services to Customers.
19. Changes to These Terms
3on-pay may update these Terms where reasonably necessary to reflect changes to the Services, applicable law, regulations, Card Scheme requirements, security requirements or business arrangements.
Where required by applicable law, 3on-pay will provide notice of material changes and any applicable termination or other rights.
20. Confidentiality
Each party must keep confidential all non-public business, technical, financial and commercial information received from the other party and must use such information only for purposes connected with the business relationship.
This obligation does not apply to information that:
-
is publicly available;
-
was independently developed without use of confidential information;
-
was lawfully received from another source; or
-
is required to be disclosed by law or a competent authority.
21. Force Majeure
Neither party will be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, war, civil unrest, major telecommunications failures, banking-system failures, payment-network disruption, cyber incidents or changes in applicable law or regulation.
22. Governing Law
These Terms and the Merchant’s relationship with 3on-pay will be governed by the law specified in the applicable Merchant agreement.
Where no governing law is specified, the parties should agree the applicable governing law and jurisdiction before these Terms are issued or incorporated into a binding agreement.
23. Complaints
Merchants may submit complaints or service concerns using the contact details provided by 3on-pay.
3on-pay will handle complaints in accordance with applicable legal and regulatory requirements and its applicable complaints procedure.
24. Entire Agreement
These Terms, together with the Merchant application, pricing schedule, service-specific terms, privacy notice and any other documents expressly incorporated into the Merchant agreement, constitute the agreement governing the Services.
If there is any conflict between these documents, the order of precedence specified in the Merchant agreement will apply.
